These Terms and Conditions (“Terms”) govern your access to and use of the SocialCity platform, the website located at socialcitycard.com, any associated mobile or web applications, physical or digital membership cards, and all related features and services (collectively, the “Service”). The Service is operated by Social City LLC (“SocialCity,” “we,” “us,” or “our”).
By creating an account, purchasing or activating a membership, listing a venue or offer, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Definitions
- “Member” means an individual who purchases, holds, or uses a SocialCity membership to access Offers.
- “Venue” or “Partner” means a business, establishment, or merchant that lists, advertises, or makes available one or more Offers through the Service.
- “Offer” means any deal, discount, promotion, perk, or benefit made available by a Venue to Members through the Service.
- “User,” “you,” or “your” means any Member, Venue, or other person or entity that accesses or uses the Service.
- “Content” means any text, images, logos, descriptions, or other materials submitted to or displayed on the Service.
2. Eligibility
You must be at least 21 years of age to create an account, purchase or hold a membership, or otherwise use the Service. Because the Service is centered on offers from venues that sell and serve alcohol, membership is limited to individuals who are 21 years of age or older. The Venue remains responsible for verifying age at the point of redemption of any Offer involving alcohol or other age-restricted products. By using the Service, you represent that you are at least 21 years old and that the information you provide is accurate and complete.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe present a risk to the Service or other Users.
4. Memberships, Fees, and Billing
4.1 Membership. Membership grants access to Offers made available by participating Venues during the membership term. Availability, type, and value of Offers may change at any time and are not guaranteed.
4.2 Billing. Paid memberships are billed through our third-party payment processor (Stripe). By purchasing a membership, you authorize us and our processor to charge the applicable fees, including any recurring charges, to your selected payment method.
4.3 Renewal and Cancellation. Recurring memberships automatically renew at the end of each billing cycle unless cancelled before the renewal date. You may cancel at any time through your account; cancellation takes effect at the end of the current billing period.
4.4 Refunds. Except where required by law, membership fees are non-refundable.
5. Venue and Partner Terms
This Section 5 applies to any Venue that lists or makes available Offers through the Service. By listing a Venue or Offer, you agree to the following in addition to the rest of these Terms.
5.1 Responsibility for Your Offers
You are solely responsible for creating, describing, pricing, scheduling, honoring, and fulfilling every Offer you choose to make available. SocialCity does not set, require, dictate, or control the substance of your Offers. SocialCity is not responsible for the Offers you choose to provide, for how you describe or honor them, or for any dispute between you and a Member arising from an Offer. You agree to honor every Offer you list according to its stated terms.
5.2 Compliance With Laws and Licensing
You are solely responsible for knowing, understanding, and complying with all federal, state, and local laws, regulations, ordinances, and licensing requirements applicable to your business and to each Offer you provide. This includes, without limitation, laws and regulations governing alcohol sales and service, liquor licensing, drink-pricing and happy-hour restrictions, promotional and advertising rules, food safety, taxation, gift cards and stored value, and consumer protection. It is your responsibility to know and follow your local laws. Some jurisdictions restrict or prohibit certain alcohol-related promotions; determining whether any Offer is permitted in your jurisdiction is your responsibility, not ours.
5.3 Liquor License and Alcohol-Related Offers
SocialCity is a platform that connects Members with Venues. SocialCity is not a seller, server, or distributor of alcohol and is not a party to any sale or service of alcohol that occurs at your Venue. You acknowledge and agree that SocialCity is not responsible or liable for any legal action, claim, fine, penalty, citation, audit, suspension, revocation, or other consequence relating to your liquor license, alcohol permit, or alcohol-related compliance, whether arising from an Offer listed through the Service or otherwise. You assume full responsibility for the lawful sale and service of alcohol at your Venue, including responsible-beverage-service obligations and age verification.
5.4 Accuracy of Listings
You represent that all Content you submit about your Venue and Offers is accurate, current, and not misleading, and that you have the right to use and display it.
5.5 Venue Indemnification
You agree to indemnify, defend, and hold harmless SocialCity and its owners, officers, members, employees, and agents from and against any claims, demands, losses, liabilities, fines, penalties, damages, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your Offers, (b) your sale or service of any product, including alcohol, (c) your violation of any law, regulation, or licensing requirement, or (d) any dispute between you and a Member.
6. Member Conduct
Members agree to use the Service and redeem Offers in accordance with each Offer’s stated terms and with all applicable laws. Memberships and membership cards are personal, non-transferable (unless we state otherwise), and may not be resold. We may suspend or revoke a membership for misuse, fraud, or abuse of Offers or Venues.
7. SocialCity's Role; Transactions Between Members and Venues
SocialCity provides a platform that connects Members and Venues. The actual transaction for any goods or services — including the sale or service of food, drinks, or alcohol — is solely between the Member and the Venue. We are not a party to that transaction. We do not guarantee the quality, safety, legality, or availability of any Offer or of any product or service provided by a Venue, and we are not responsible for a Venue’s failure to honor an Offer.
8. Disclaimers
THE SERVICE AND ALL OFFERS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OFFER WILL BE AVAILABLE OR HONORED.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIALCITY AND ITS OWNERS, OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY OFFER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10. General Indemnification
You agree to indemnify, defend, and hold harmless SocialCity and its owners, officers, members, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Service, your Content, or your violation of these Terms or any law.
11. Intellectual Property
The Service, including its design, software, trademarks, and logos, is owned by SocialCity or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our prior written consent. You retain ownership of Content you submit but grant us a non-exclusive, royalty-free license to host, display, and use it to operate and promote the Service.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 5, 8, 9, 10, and 13) will survive.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wisconsin, and you consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
